Roots Corporation (“Roots”), aims to do business with Suppliers that respect the culture in
which they operate, the local law and the workers who manufacture Roots products.

Roots has developed this Workplace Code of Conduct, (“Code”), which sets forth the basic
minimum requirements that all Suppliers must meet in order to do business with Roots

In addition to the specific provisions in this Code, Roots expects its Suppliers to act
reasonably in all respects and to ensure that no abusive, exploitative or illegal conditions
exist in their workplaces. Roots’ standards follow a core value of protecting worker’s rights,
health and wellbeing.

I. SUPPLIER AGREEMENT  
Country Law: Roots Suppliers must operate in full compliance with the laws of their
respective countries and with all other applicable laws, rules and regulations, including those
relating to labour, worker health and safety and the environment. In cases where the Roots
standard is more stringent, the Roots standard will apply.

Subcontracting: Roots will only work with Subcontractors who comply with this Code and
who have signed a copy of this Code. The Supplier must agree to disclose to Roots the name
and address of every Subcontractor used in the production of Roots garments and products.
The Supplier must monitor its Subcontractors adequately to ensure compliance with the
Code, Roots Social Compliance Standards and applicable laws whichever is more stringent.

Recordkeeping: Suppliers and Subcontractors must agree to permit Roots and their
representatives to inspect all facilities and documents to ensure compliance with local laws
and international standards. All documents provided must be accurate and must be presented
in a manner that allows for a complete inspection by auditors.

Communication of Standards: Roots expects all Suppliers to support and cooperate in the
communication of this Code. This includes prominently posting a copy of the Workplace
Code of Conduct in the local languages, as well as in English, in an area where all workers
may freely view these principles.

II. EMPLOYMENT STANDARDS
Fair Wages and Benefits: Suppliers must pay all workers who manufacture Roots garments,
products or any components, at least the minimum wages and benefits mandated by local
law, including an annual paid leave and holidays as required by local law or which meets
the local industry standards whichever is greater. Wages that are at least sufficient to
provide them with a decent living for themselves and their family.

Wages must be paid directly to the worker in full in legal tender. Only legal deductions are
permitted and workers must be notified of these deductions. Payment of wages must be made
at or near the workplace. In addition to their compensation for regular hours of work,
workers shall be compensated for overtime hours at such premium rate as is legally required
in the country of manufacture or, in those countries where such laws do not exist, at a rate at
least equal to their regular hourly compensation rate.

Decent Work Hours and Overtime: Workers shall (i) not be required to work more than the
lesser of (a) 48 hours per week and 12 hours overtime or (b) the limits on regular and
overtime hours allowed by the law of the country of manufacture or where the laws of such
country do not limit the hours of work, the regular work week in such country and 12 hours
overtime and (ii) be entitled to at least one day off in every seven day period. Each worker
must be notified at the time of hiring that overtime may sometimes be necessary.

No Child Labour: Roots Suppliers shall only employ either directly or indirectly, workers who meet
the applicable minimum legal age as per the country law or are at least 15 years of
age whichever is greater. When appropriate, Suppliers shall pursue the possibility of
providing work for adult members of the affected children’s family.

Protection for Young Workers: Young workers are not to be employed at night or exposed
to any hazardous or unsafe work conditions which may compromise their health, safety and
moral integrity and/or their physical, mental, spiritual or social development. This applies
for young workers, working both directly and indirectly for the Supplier. Where such young
workers are subject to compulsory education laws, they may work only outside of school
hours. Under no circumstances shall any young worker’s school, work and transportation
time exceed a combined total of 10 hours per day and in no case shall young workers work
more than 8 hours per day.

No Forced Labour: Roots Suppliers must not engage in or support any form of servitude or
use of forced labour of any kind, whether prison, indentured, bonded, trafficked or other.

Either directly or indirectly.

No Discrimination or Harassment:  Suppliers cannot engage in, support or tolerate
discrimination on hiring, compensation, promotion, termination, retirement or other.
Suppliers shall respect equal employment opportunities on an individual’s ability to do the
job. No worker of a Roots Supplier shall be subject to unlawful workplace discrimination,
harassment, exclusion, intimidation or abuse. Discrimination must not occur on the basis of
race, colour, gender, religion, political opinion, cultural beliefs, nationality, social origin,
ethnicity, social class, maternity, marital status, sexual orientation, age or mental and/or
physical disability.

Occupational Health and Safety: The workplace must be safe and sanitary and Suppliers
must comply in all respects with all applicable laws regarding the provision of a safe,
hygienic and healthy working environment. Suppliers must take steps to prevent workplace
accidents, injuries and illnesses and must train workers to use safe workplace practices and
workers have the right to remove themselves from imminent danger without permission.

Rights of Freedom of Association:  Workers must be free to join associations of their own choosing.
Suppliers must not interfere with workers who wish to lawfully and peacefully
associate, organize or bargain collectively. The Supplier must not threaten, penalize, restrict
or interfere with workers’ lawful efforts to join associations of their choosing.
Environmental Protection: Suppliers must comply with all local laws and regulations
protecting the environment. Roots will favor Suppliers and contractors who take steps to
ensure that their operations have the least impact possible on the environment.

Ethical Practices: Roots seeks Suppliers who aspire to the highest ethical standards in their

business practices maintaining accurate records. Suppliers and factories must not be
involved in any act of corruption, embezzlement, extortion, nor in any form of bribery. The
promising, offering or giving of anything of value to any Roots employee, representative,
ambassador or to any Third Party Firms conducting any audits, inspections or other in an
attempt to influence audit results or any other business decision is strictly prohibited

Monitoring and Verification: Roots, by our representatives, may audit the facilities of any
Supplier and the facilities of any Subcontractor and all Suppliers and Subcontractors shall
fully cooperate and provide access to all facilities and documents to ensure compliance with
this Code. Suppliers must not falsify information nor participate in any act of
misrepresentation. Roots Corporation reserves the right to perform unannounced audits
when deemed appropriate.

Reporting Misconduct: If you encounter what you believe to be a potential violation of local laws
or regulations, Roots Workplace Code of Conduct or any unethical behavior, you may
confidentially report your concerns to Roots by emailing sourcing@roots.com. Retaliation of
any kind against an individual who reports concerns in good faith violates Roots’ principles
and will not be tolerated.
